The Role

We are seeking an experienced asset management paralegal with expertise in 1940 Act-registered investment companies, particularly open-end funds (mutual funds). Experience supporting closed-end funds, separately managed accounts (SMAs), and commercial contracts is a plus. In this role, you will play a key part in supporting fund formation, registration, regulatory filings, governance, contract management, and corporate record maintenance. You will collaborate with attorneys, fellow paralegals, outside counsel, and cross-functional business partners to support business growth, help mitigate legal and regulatory risk, and serve a global client base. We’ll trust you to:

  • Conduct legal and regulatory research related to 1940 Act funds and other asset management matters
  • Support the preparation, review, and filing of registration statements for open-end and closed-end funds
  • Assist with the preparation, drafting, and filing of SEC filings via EDGAR
  • Coordinate regulatory filings and related communications with the SEC
  • Prepare and compile board and committee materials, including annual 15(c) materials
  • Support the drafting, review, and maintenance of SMA agreements and other commercial contracts
  • Draft, update, and maintain organizational and governance documents
  • Maintain corporate and fund records, including minutes and related documentation
  • Partner with internal stakeholders to support outside counsel and vendor billing workflows
  • Respond to requests for information from internal stakeholders and business partners
  • Maintain department resources, trackers, and reference materials
  • Support special projects and other legal and regulatory initiatives, as needed

You'll need to have:

  • 3-5+ years of paralegal experience in asset management, investment management, or financial services
  • Demonstrated experience supporting 1940 Act-registered funds
  • Experience with SEC filings and EDGAR
  • Exceptional attention to detail and strong organizational skills
  • Strong written and verbal communication skills
  • A collaborative, proactive, and solutions-oriented approach
  • Sound judgment, professionalism, and discretion in handling confidential matters
  • Ability to manage multiple priorities and perform effectively in a deadline-driven environment
  • Strong problem-solving skills, resourcefulness, and ability to work independently
  • Proficiency in Microsoft Office; familiarity with Box, Command CAPS, Concur, Diligent, and/or BoardVantage is a plus
  • Bachelor’s degree required; paralegal certificate preferred

Compensation Information: Annual base salary for this role is $90,000 - $110,000. Salary is estimated for this role. Actual pay may be different.

 

Discretionary Bonus: Role may be eligible to receive an annual discretionary bonus. Discretionary bonuses are determined by several factors including, but not limited to, firm, team, and individual performance.
